Comprehensive Standard 3.2.6 - Governing board: policy-making functions

There is a clear and appropriate distinction, in writing and practice, between the policy-making functions of the governing board and the responsibility of the administration and faculty to administer and implement policy.

Judgment of Compliance

Davidson College is in compliance with Comprehensive Standard 3.2.6.

Rationale for Judgment of Compliance

The Board of Trustees is an active policy-making body as provided by Article IV of the Bylaws of the Trustees of Davidson College.  Under this article, the President, within policy guidelines established by the Board of Trustees and under its authority, has full power to administer the day to day affairs of the College.

The Board also establishes policy guidelines for the education program, while the faculty, within those policy guidelines, determines the educational program of the College.  As the admissions policy has a direct effect on the character and general welfare of the College, its admissions program is also conducted within policy guidelines established by the Trustees; the academic qualifications to be applied in the admission of students are determined by the Faculty, as per Article III, Sections 1(j) and 2 of the Davidson College Constitution.

Article IV.2 of the Bylaws provides for the President’s authority to administer and implement policy as determined by the Board:

The President shall, under the authority of the Trustees, have full power to administer the day to day affairs of the College and to act for the College in the case of emergencies.  Within policy guidelines established by the Trustees, the President shall employ such faculty and administrative personnel as is needed.  The appointment by the President of the Vice President for Academic Affairs and Dean of Faculty, Vice President for College Relations, Vice President for Business and Finance, Vice President for Student Life and Dean of Students, Vice President and Dean of Admission and Financial Aid and the Director of Athletics shall be subject to approval by the Trustees, and subject to the provisions of paragraph 3 of Article I of the Davidson College Constitution relating to consultation by the President with the Executive Committee of the Faculty in the case of a nomination to any of the offices therein specified.  The President shall be the official medium of communication between members of the Faculty, students and administrative personnel, and the Trustees.  The President shall have the privilege of the floor at all meetings of the Trustees and of the Trustee committees.  The President shall recommend to the Trustees what member or members of his or her staff shall have power to act officially for the College in his or her absence.  In the case of disability of the President the Trustees or the Executive Committee shall appoint someone to act on the President’s behalf during the time of his or her disability.

The Board also sets policy regarding the educational program and admission of students, which are then administered by the faculty as set forth in the Trustee Bylaws, Article IV.8 and IV.9:

The Faculty, within policy guidelines established by the Trustees, shall determine the education program of the College.

Because of the direct effect of admissions policy upon the character and general welfare of the College, and upon its relationship to its constituencies, the College’s admissions program shall be conducted within policy guidelines established by the Trustees and the academic qualifications to be applied in the admission of students shall be determined by the Faculty, as set forth in Article III, Sections 1(j) and 2 of the Davidson College Constitution.

Other areas of administrative responsibility for implementing trustee policy are specifically addressed as follows:

Educational Program:  As per Article III.2-3, “Responsibility for the formulation and implementation of Educational Program and Policy is reposed, subject to provisions herein for Trustee review, in the Faculty acting in conjunction with officers of the administration in accordance with succeeding sections of this Article.”  Further, “The President and Vice President for Academic Affairs share with the Faculty responsibility for proposing Educational Program and Policy.  Proposals are made through the appropriate committees of the Faculty, for legislative action.  The President, the Vice President for Academic Affairs, and such other administrative officers, Faculty and Staff members as may be designated by them are responsible for the orderly implementation of Educational Program and Policy adopted by the Faculty.”

Fiscal, Personnel, and Development Affairs:  Davidson College Constitution, Article IV.1 subsection 6 vests this authority in the President “to submit to the Trustees and to implement upon their approval proposals for specific action, general programs and policies within this area of responsibility.”
