Compliance Certification Report Core Requirement 2.2 - Governing Board The institution has a governing board of at least five members that is the legal body with specific authority over the institution. The board is an active policy-making body for the institution and is ultimately responsible for ensuring that the financial resources of the institution are adequate to provide a sound educational program. The board is not controlled by a minority of board members or by organizations or interest separate from it. Neither the presiding officer of the board nor the majority of other voting members of the board have contractual, employment, or personal or familial financial interest in the institution. Judgment of Compliance Davidson College is in compliance with Core Requirement 2.2. Rationale for Judgment of Compliance The Davidson College Board of Trustees is bound by its bylaws, including those relating to membership, authority, policy, and financial resources. The membership of the Board represents a wide range of interests, affiliations, and organizations, none of which either control or have undue influence on its functions. According to Article I of the Bylaws of the Trustees of Davidson College , ownership, management and control of Davidson College are vested in the Trustees of the College, composed of 44 elected members as follows:
In addition, the following persons serve as Trustees, ex officio: The President, the President and the President-elect of the Alumni Association, and the Chair of the Board of Visitors. The Board of Trustees is an active policy-making body as provided by Article IV of the Bylaws of the Trustees of Davidson College. Under this article, the President, within policy guidelines established by the Board of Trustees and under its authority, has full power to administer the day to day affairs of the College. The Board also establishes policy guidelines for the education program, while the faculty, within those policy guidelines, determines the educational program of the College. As the admissions policy has a direct effect on the character and general welfare of the College, its admissions program is also conducted within policy guidelines established by the Trustees; the academic qualifications to be applied in the admission of students are determined by the Faculty, as per Article III, Sections 1(j) and 2 of the Davidson College Constitution. Ultimate responsibility for ensuring that the financial resources of the institution are adequate to provide a sound educational program falls to the Board of Trustees, as stated in Article I.1 of the Bylaws of the Trustees of Davidson College which states that “The ownership, management and control of Davidson College are vested in the Trustees of the College.” All Trustees have equal status with regard to voting. Neither the Chair nor the majority of other voting members of the board have contractual, employment, or personal or familial financial interest in the institution.
